Terms of Service

1. Acceptance of Terms

By accessing or using SHIPEX PRO ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SHIPEX PRO is a shipping platform that helps you create shipments, obtain shipping quotes, track packages, and manage shipping-related operations. The Service integrates with QuickBooks Online to create invoices or sales receipts when you create shipments, and may integrate with other third-party services.

3. Account and Eligibility

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate information and notify us of any unauthorized use.

4. QuickBooks Integration

When you connect your QuickBooks Online company to SHIPEX PRO:

• We will access and use your QuickBooks data (including customer, company, and transaction data) solely to provide the Service, including creating invoices or sales receipts for shipments.
• We do not access personally identifiable tax information such as SSNs or EINs.
• You may disconnect the integration at any time through QuickBooks or through our Settings. Disconnecting will prevent new invoices from being created.
• Your use of QuickBooks is subject to Intuit's terms and policies.

5. Use of the Service

You agree to use the Service only for lawful purposes. You must not:

• Use the Service in violation of any applicable laws or third-party rights
• Attempt to gain unauthorized access to any system or data
• Transmit malware or interfere with the Service's operation
• Use the Service to ship prohibited items
• Resell or sublicense the Service without authorization

6. Fees and Payment

Fees for shipping, carrier services, and any platform fees are as agreed or displayed in the Service. You are responsible for all charges incurred through your account.

7. Intellectual Property

SHIPEX PRO and its content, features, and functionality are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. CARRIER RATES, DELIVERY TIMES, AND TRACKING ARE PROVIDED BY THIRD PARTIES AND WE DO NOT GUARANTEE THEIR ACCURACY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account for violations of these Terms or for any other reason. You may terminate your account at any time. Upon termination, your right to use the Service ceases.

12. Changes

We may update these Terms from time to time. We will notify you of material changes via the Service or email. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec, Canada.
